  1. The product warranty is 2 years from the date of purchase.
    The warranty for the boiler is 2 years, if the boiler inspection and maintenance are carried out by the seller or his authorized representatives, at the request of the customer, at intervals of maximum 12 months, for a fee. The first mandatory inspection must be carried out before the end of 12 months from the date of purchase. If the customer does not request the inspection within 12 consecutive months, does not accept the inspection in writing and does not pay the cost of the inspection within 30 days from the issuance of the proforma invoice, the boiler warranty is no longer valid.
    Periodic inspections are calculated from the date of initial sale, regardless of any repairs or replacements.
    If the voltage at the equipment's power outlet is not stable, it is recommended to check and fix the problem or use a voltage stabilizer that must be 4× the equipment's power, and capable of supporting the current and voltage at startup and during equipment operation.
  2. This document certifies that the purchased product benefits from warranty and service provided that the installation, use, handling and transportation rules are followed.
    The seller guarantees against manufacturing and material defects for the period established above starting from the date of purchase by the end user. During the warranty period, the seller reserves the right to repair or replace the subassembly that proves to be defective free of charge with the exception of consumables (magnesium anode, etc.).
  3. The warranty only covers those defects that occur during normal use of the product and does not apply to:
    a. Negligent handling and operation (electrical, mechanical, thermal shocks, high degree of impurities and/or excessive humidity in the work room, placement in positions other than normal, foreign objects entering the equipment, liquids other than water, etc.), and the installation must be carried out by an authorized installer.
    b. Use of consumables other than those recommended by the seller.
    c. Interventions not authorized in writing by the company TERMOCASA to equipment.
    d. Operation above the maximum temperature limit provided by the manufacturer or use of liquids with a sulfide concentration greater than 0,2mg/L or water with a limestone content above 110 ppm.
    e. Power supply at voltages and frequencies other than those provided by the manufacturer 230V with a tolerance of no more than 3%.
    f. Defects due to customer interventions.
    g. Using inappropriate media.
    h. Defects due to connecting cables, building grounding, as well as due to connecting/disconnecting equipment during operation.
    i. Defects due to failure to replace the magnesium anode within 12 months (see user manual), and if it is consumed faster (water with hardness above 110ppm), then it must be checked and replaced in order not to lose the warranty.
    j. Using a classic softener with salt (NaCl/KCl).
    k. Pitting corrosion defect – due to chlorides in water
    l. Defect caused by galvanic (electrochemical) corrosion due to direct contact between stainless steel and a less noble metal (copper, steel, aluminum, zinc) + the presence of conductive water.
    m. Defect due to the use of water with acidic pH or very high conductivity, such as well or borehole water with pH<6, or high content of nitrates, sulfates, iron, manganese.
    n. Defect due to limescale deposits + stagnation + dissolved oxygen
    Cause: hard water + high temperatures (60–80°C) → limescale deposits that insulate stainless steel portions.
    Under the layer of limestone, sub-deposition corrosion occurs.
    o. Defect due to the absence or depletion of the magnesium anode, even if it is stainless steel, the boilers have a protective anode that takes over the electrochemical charge, especially in waters with high conductivity.
    p. Defect due to external agents – detergents, chlorine, steam, sea air, if the boiler is installed in bathrooms, technical rooms or damp basements where there are chlorine vapors or detergents, external corrosion may occur on the casing or even on the welds.
    r. Defect due to electrical surges or faulty grounding. The boiler is powered from a network without proper grounding → a weak current appears through the water or through the boiler body.
    Effect: Electrolytes in water accelerate corrosion.
    The defects described above will void the warranty and repairs will be paid for by the customer.
  4. Pre-installed electronic products requested by the customer are not covered by this warranty certificate.
  5. The warranty, verification and service of the products is provided by company TERMOCASA at its premises, and in the event of a defect, the seller may opt to replace the product or have the product repaired by the authorized installer who installed the boiler or send a representative to remedy the defect or remedy the defect at its premises (after the 2-year warranty expires).
    In the event of product replacement, the commercial warranty period continues from the date of initial purchase and is not renewed.
  6. The product is guaranteed if the average working temperature is below 55 degrees Celsius.
  7. When requesting the guarantee, it is necessary to a detailed WRITTEN presentation of the defect found.
  8. In the event of an unjustified warranty claim, the customer will be required to pay for the labor to diagnose the product, which cannot be less than the equivalent of 20 Euros at the current exchange rate.
  9. Maintenance visits or interventions at the customer's premises are not included in the warranty on the territory of Romania and outside the territory of Romania you can opt to send the product for servicing at the premises. Termocasa or for the inspection to be carried out by an authorized installer, contracted by the buyer.
  10. The warranty or warranty extensions are only granted if seals or labels applied by the society TERMOCASA are intact.
  11. The duration of the warranty period is extended by the time elapsed from the date the buyer complained about the product's failure until its return to service.
  12. By signing this certificate, the buyer expresses his agreement with the contents of this document and declares that he has taken over the device in good condition.

Using the boiler without a proper water treatment system (softener/salt-free filtration) in areas with hard water can lead to premature damage to the equipment and void the warranty.

1. Overview

1.1 Pressurized water tank (tank equipped with heat exchangers / coils)

When installing a central heating system or solar panels for domestic hot water heating, the selection of the boiler and its characteristics is very important because its function is to take the heat from the central heating system or solar panels and transform it into domestic hot water in a pressurized system.

1.3 Pressure water tank protection
The inner lining of the pressurized water tank is made of food-grade SUS304 stainless steel, which is welded by a fully automatic argon arc welding machine/robot. It is corrosion-resistant and non-deformable, ensuring a long product life together with the magnesium anode.
To provide complete protection to the water tank, it is recommended to inspect and replace the magnesium anode as often as necessary, and replace it at least once a year, depending on its consumption due to non-compliant water (with limescale, etc.).

1.4 Efficiency
The unique heat exchanger configuration ensures complete heating of the water in the pressure tank, along with the appropriate dimensions of the heat exchanger/coil surface.

1.5 Insulation
Injection molded polyurethane foam for effective thermal insulation. The insulation does not contain CFC or HCFC

The material of the pressure water heater casing is galvanized sheet metal.

1.8 Tips

  3. The installation fee will be paid by the buyer and must be installed by a licensed installer according to the instructions in this manual.
  4. It is forbidden to use the hot water tank for any purpose other than heating domestic hot water, the manufacturer is not responsible for damage caused by improper or incorrect use.
  5. Installation, maintenance and any other adjustments must be carried out by professionals in accordance with the operating procedures and instructions in this manual.
  6. The seller will not be liable for any injuries to persons or animals or other material damage caused by improper installation of the equipment.
  7. Do not leave packaging materials (staples, plastic ties, foam, etc.) within the reach of children to avoid dangers.
  8. Do not allow children or inexperienced personnel to use the water tank.
  9. We recommend that you protect the body and external components of the boiler from moisture.
  10. Maintenance of the hot water tank will be carried out by an installer authorized by the seller, and during maintenance visits it is mandatory to present the original warranty certificate and the purchase invoice.

3. Installation and operation

If the voltage at the equipment's power outlet is not stable, it is recommended to check and fix the problem or use a voltage stabilizer that must be 4× the equipment's power, and capable of supporting the current and voltage at startup and during equipment operation.

The pressurized water tank with heat exchanger (serpentine) can conveniently provide hot water for domestic and industrial use. The pressurized water tank is connected to the water supply network through the cold water connection, and hot water is supplied to each point of use through the hot water connections. When the hot water is released, the cold water enters the pressurized water tank and is heated to the set temperature in the pressurized water tank.

It is recommended to set the domestic hot water temperature between 40℃ and 65℃ to ensure the best performance and to sanitize the pressurized water tanks, to keep heat loss to a minimum and to inhibit the formation of deposits. Non-professionals should not perform the following operations, otherwise the warranty will be void:

3.1 Location of the pressurized water tank
Please install the pressurized water tank as close as possible to the heating source (such as heat pump, solar collector, gas boiler, etc.), and the floor must be able to support the total weight of the pressurized tank filled with water.

3.2 Piping connection and preliminary operation

3.2.1 Refer to the structure diagram of the pressurized water tank in the instruction manual to connect all the pipes. After the connection is completed, it should be tested to ensure that there is no leakage at the pipe joints. The hot water pipes should be insulated.
3.2.2 Make sure that the useful thermal power of the pressurized water tank exceeds the power that can be released by boilers and other heat sources by more than 15%.
3.2.3 If the quality of the water in the circuit is too hard, it is recommended to install a suitable softener on the water pipe of the pressurized water tank, if there are impurities in the water in the circuit, it is recommended to install a suitable filter.
3.2.4 Make sure that the circulation pumps have sufficient flow and safety protection and are functioning properly.

Major safety reminder: The pressure water tank must be installed with a pressure relief valve suitable for the maximum working pressure of this product ≤7Bar in accordance with national standards. The pressure relief valve must be directly connected to the pressure water tank. The discharge pipe shall be connected to the pressure valve and discharged into a safe, frost-free drainage environment.
IT IS MANDATORY to install an expansion vessel on the domestic hot water outlet circuit, a vessel whose role is to ensure the correct functioning of the domestic hot water production installation and the water supply system. It allows the water to expand and contract. It also prevents damage that may occur as a result of pressure variations. Among the benefits brought by the expansion vessel are:

  • prevents serious accidents from occurring;
  • it is important in solar installations;
  • prevents the boiler safety valve from opening;
  • protects pipes, not just the heating system;
  • If there is no expansion vessel, then the safety valve will open, which will lead to water loss, reduced life span or damage to the equipment, and various dangers.

The recommended water pressure is 2-3 bar, and to obtain it, it is recommended to use a correctly sized pressure regulator and expansion vessel.

The pressure relief valve must be manually drained (at most every 90 days) regularly to prevent blockage. At the same time, when the coil heat exchanger is connected to other energy sources, a safety valve with a maximum working pressure of <7Bar must be installed.

In theory, stainless steel is resistant to corrosion, but in practice there are several situations in which even a stainless steel water heater can corrode or puncture over time.

Here are the main real and technically explained cases where this happens:

1. Pitting corrosion – due to chlorides in water

Cause: high concentration of chlorine ions (Cl⁻) in water (e.g. from salt, hypochlorite, detergents, pool water, or even hard chlorinated drinking water).

Mechanism: Chlorine ions destroy the passive chromium oxide film that protects stainless steel.

Once the film is locally damaged, pitting occurs.

Affected areas: the inside of the tank, joints, welds, areas with limescale deposits.

2. Galvanic (electrochemical) corrosion

Cause: direct contact between stainless steel and a less noble metal (copper, steel, aluminum, zinc) + the presence of conductive water.

Mechanism: the stainless steel becomes the cathode, and the other metal the anode, which dissolves – but sometimes the local effect reverses at the micro-scale and micro-perforations appear in the stainless steel.

Example: Copper pipes connected directly to stainless steel fittings without dielectric inserts → in 2–3 years traces of oxide or even holes appear.

3. Water with acidic pH or very high conductivity

Cause: well or borehole water with pH < 6, or high content of nitrates, sulfates, iron, manganese.

Mechanism: the passive chromium oxide film dissolves → generalized corrosion.

Symptoms: dull areas, rusty portions, metal smell, colored water.

4. Limescale deposits + stagnation + dissolved oxygen

Cause: hard water + high temperatures (60–80°C) → limescale deposits that insulate stainless steel portions.

Under the layer of limestone, sub-deposition corrosion occurs.

Mechanism: dissolved oxygen reacts locally → pitting under the crust.

It accelerates if the boiler is unused for a long time (stagnant water).

5. Absence or depletion of the magnesium anode

Even though it's stainless steel, the boilers have a protective anode that takes over the electrochemical charge.

If the anode is not checked periodically, at least annually, the stainless steel can become anodic and perforated.

Especially in waters with high conductivity.

6. External agents – detergents, chlorine, steam, sea air

If the boiler is installed in bathrooms, technical rooms or damp basements where there are chlorine vapors or detergents, external corrosion may occur on the casing or even on the welds.

7. Electrical surges or faulty grounding

Cause: the boiler is powered from a network without proper grounding → a weak current appears through the water or through the boiler body.

Effect: Electrolytes in water accelerate corrosion.

Sometimes it leads to perforation within 1–2 years in the connection area.

How to prevent:

  • Assembly with dielectric connections between dissimilar metals.
  • Check and replace the magnesium anode whenever it is consumed.
  • TAC (Template Assisted Water Softening) filter
  • Crystallization), or magnetic anti-limescale filter at the inlet.
  • Avoid strong chlorination of water.
  • Check the grounding of the electrical installation.
  • Clean the boiler periodically (every 1–2 years) for deposits.

Water quality and recommended softening

To protect the stainless steel boiler, the water used must comply with: hardness max. 10°dH, chlorides max. 250 mg/L, pH 6,5–8,5. Classic salt softeners (NaCl/KCl) are not recommended, as chloride ions can cause corrosion and perforations, not covered by warranty. It is recommended to use TAC (Template Assisted Crystallization) systems, which prevent limescale deposits without adding chlorides and protect stainless steel in the long term. It is recommended that the TDS value does not exceed 500 ppm. High TDS values, especially in the presence of chlorides, accelerate corrosion processes and lead to equipment damage, situations that are not covered by the warranty.

(ATTENTION!!! The surface area of ​​the coil in the boiler must be correctly sized depending on the power of the heating system/heat pump – see the RECOMMENDATIONS chapter)

The 3-way valve (7) from the green circuit and the recirculation pump (18) will be powered by the solar panel automation.

4. Commissioning

4.1 Fill the pressurized water tank with water at the cold water inlet and open the tap on the pipe connected to the hot water outlet to release the air in the circuit.

4.2 Fill the primary circuit and bleed the air from the circuit. Follow this procedure to fill the secondary circuit if necessary.

5. Maintenance

5.1 Before performing any maintenance on the pressurized water tank, the water tank must be emptied and the water supply must be cut off.

5.2 When cleaning the external parts of the pressurized water tank, please use a damp cloth and a suitable commercially available cleaning agent, do not use corrosive products such as solvents, alcohol, etc.

5.3 It is recommended to descale the pressurized water tank once a year and check and replace the magnesium rod. Draining and descaling steps: close the water inlet valve of the water tank, open the water end valve, and then open the waste water outlet valve to release the water and water in the pressurized water tank.

6. Warranty terms

6.1.1 This warranty is only valid when the equipment is installed by qualified personnel. The warranty is void in the following cases:

  • Unusual environmental conditions:
  • Installed outdoors in places subject to frost or weather;
  • If you use rainwater or well water or corrosive water that does not meet national standards;
  • All types of damage caused by vibration or dropping during the handling process after delivery from the factory;
  • If the magnesium anode is not replaced as often as it is consumed, and if it is not consumed, it will be replaced every 12 consecutive months.

6.1.2 The warranty applies only to the pressurized water tank and its components, with the total exception of electrical or hydraulic installations, losses that could be avoided by immediate repair of the pressurized water tank are not covered by the warranty.

6.2 The installation does not comply with regulations, national standards and industry rules, in particular:

6.2.1 Missing or incorrectly installed security components

6.2.2 The installation of safety components does not comply with national standards, and old safety components are used on newly installed pressure water tanks.

6.2.3 Changing the safety component setting after seal damage.

6.2.4 Abnormal corrosion caused by improper water connection (direct contact between iron and copper)

  3. Products that have been installed, dismantled or repaired by personnel not authorized by the company Termocasa;
  4. Products without a warranty certificate and invoice or an amended warranty certificate;

  6. Products damaged by external factors.

Hydrodynamic pool installation and use manual

Due to the unmatched heat transfer of copper pipes, the company TERMOCASA decided to use them in the manufacture of heat exchangers for heat pumps. In some cases, the phenomenon of corrosion occurs due to the presence of air in the heat exchangers (accidentally or due to faulty installation), especially when using submersible pumps.

As is known, copper pipe in contact with water forms an oxide layer that protects the copper for decades, but if the water contains air bubbles or if the copper pipe is repeatedly exposed to air and water, this phenomenon leads to the oxidation of the copper pipe and the appearance of green/blue corrosion spots, and finally the copper pipe is perforated. The Hydrodynamic Basin has the role of mediating the transfer of water between the submersible pump and the heat pump and eliminating the risk of air entering the heat pump.

The hydrodynamic basin has a diameter of 74cm (the diameter can be narrowed/flattened up to 60cm due to the elastic material from which it is made) and a height of 74cm, it can be placed close to the heat pump.

After connecting the hydrodynamic pool to the heat pump and the groundwater extraction pump, both electrical and hydraulic connection according to the images below, for hydrodynamic balancing, we recommend using the graduated scale in Fig.3 to adjust the flow of the two pumps (the water pump from the ground and the surface pump attached to the hydrodynamic pool) from the two taps located on the body of the pool, so that the water level in the pool must grow with a gradation every 5 minutes, and in this way the ground water pump will not have frequent starts and will be protected, and the heat pump will be able to work for decades without service problems due to perforation of the heat exchangers.

If when the heat pump stops working, the water level in the pool drops, then the drain pipe of the heat pump (cold outlet) will have to be positioned higher to prevent water from draining from the heat pump through the phenomenon (principle) of communicating vessels.

Art.1 - OBJECT OF THE CONTRACT

1.1 The manufacturer appoints ………………….., to distribute and sell in the territory of ……………….. (without exclusivity clause) the brand heat pump products TERMOCASA water-water or ground-water comfort model with powers between 8 and 22kw and heat pump systems configured from modules between 8kw and 22kw, as well as branded heat pumps TERMOCASA air-water model between 8 and 32kw.

Art.2 - DURATION OF THE CONTRACT

2.1 This contract is concluded for a period of 12 months, starting from the date of its signing and can be terminated by any of the contracting parties with a 30-day notice, through a written notification, or it can be extended with the agreement of the parties.

Art.3 – PRICES AND PAYMENT METHODS

3.1 The reference price will be the price with VAT from the official website of the MANUFACTURER (on the date of conclusion of this contract, the website: www.termocasa.ro), the price at which the product/products are sold to the MANUFACTURER's other customers, a price that includes any discounts granted by the MANUFACTURER to its customers, on the date on which the firm order is launched and paid in full by the DISTRIBUTOR.

3.2 The selling price to the DISTRIBUTOR will be calculated from the reference price to which a discount will be applied, as follows:

  • 15% between 3-10 pcs. / year
  • 20% between 11-20 pcs. / year
  • 25% over 21 pcs. / year

For example: if you start from 0 and reach 15 pcs./year sold, then you will receive 20% for all pumps sold, only for the first 10 pcs. the difference from 15% to 20% is paid on the sale of the eleventh heat pump.

A heat pump is considered sold by a distributor only if the DISTRIBUTOR communicates the customer's data and personally requests (by e-mail, telephone, etc.) the invoicing to the representatives TERMOCASA.

The following year starts from where it left off with the percentage.

THE DISTRIBUTOR WHO MAKES THE SALE MUST ENSURE THE INSTALLATION AND COMMISSIONING OF THE INSTALLATION (if he is not an installer, he can call on a collaborator)

The distributor can request that in exchange for the percentage (eg: if he sells 5 pcs. with a 20% discount, then he has a 100% discount) to receive a FREE heat pump between 8 and 32kw.

The distributor has the obligation (personally or through collaborators) to remedy any technical problem occurring at the final client's installation within 72 hours of the client's notification, otherwise the manufacturer may unilaterally terminate the contract in force.

The selling price to the DISTRIBUTOR is firm, it is expressed in lei at the BNR exchange rate on the day of confirmation and payment of the order and does not include transport and shipping costs, as well as other costs related to the installation, assembly or commissioning of the requested products.

3.3 Payment of the products/product ordered by the DISTRIBUTOR will be made in full when the firm order is placed.

Art. 4 – OBLIGATIONS OF THE PARTIES

4.1 The MANUFACTURER undertakes the following:

a) To provide the DISTRIBUTOR with the products for sale in the territory at the sales price agreed in Art.3, the assortments and quantities established on the basis of the order signed and stamped by him.

b) When the MANUFACTURER will be able to offer for sale in the territory, any new product in the category of heat pumps that it manufactures, the DISTRIBUTOR will be able to contact him and benefit from discounts under a new contract or an annex to the current one contract, by mutual agreement.

c) To provide the DISTRIBUTOR with sales promotion materials:

  • free of charge – technical support in electronic form (images at a resolution sufficient for the creation of advertising materials, brochures, leaflets, etc.) in order to create advertising material (brochures, leaflets, posters, banners, billboards, advertising in electronic form, etc. ).
  • for a fee - upon request of such materials by the DISTRIBUTOR, in a format other than electronic, or as a bonus for sales results - brochures, leaflets, posters or other advertising or promotional materials that are regularly available to other distributors of MANUFACTURER.

d) To provide the DISTRIBUTOR with the technical documentation necessary for the delivery and commissioning of the ordered equipment (products).

4.2 The DISTRIBUTOR undertakes the following:

a) To inform the MANUFACTURER in writing about the complaints that the DISTRIBUTOR cannot satisfy regarding the products, together with the names and addresses of the persons making such complaints.

b) To pay the contract price under the conditions of Art. 3

Art. 5 – METHOD OF WORK

5.1 The DISTRIBUTOR sends the order to the MANUFACTURER by e-mail, and the order confirmation will be received in the same way.

  • The DISTRIBUTOR must conduct all discussions and negotiations with the customer, verbally or in writing, without the direct involvement of the MANUFACTURER.
  • The MANUFACTURER cannot be involved in the written or verbal discussions between the customer and the DISTRIBUTOR.

5.2 Within the delivery period established by the order confirmation, the products will be delivered as follows:

  • raised by a delegate of the DISTRIBUTOR based on the signed and stamped delegation
  • the shipment will be made by a courier company or transport company.

In both cases, the MANUFACTURER is responsible for the goods until they leave the warehouse from which the delivery is made, respectively until the goods are handed over to the DISTRIBUTOR's delegate or the courier company/transport company, until their own warehouse, respectively the destination location.

5.3 In the case of the delivery of the products by the DISTRIBUTOR's representative, upon picking them up from the MANUFACTURER, the parties will proceed to the quantitative reception.

5.4 In the case of delivery of the products through a courier company/transport company, it is considered that the courier company/transport company's acceptance of the products for delivery to the DISTRIBUTOR is equivalent to a quantitative acceptance without objection.

Art.6 – CONTRACTUAL LIABILITY

6.1 The DISTRIBUTOR is obliged to pay the full value of the goods to the MANUFACTURER by payment order or cash.

6.2 The products will be delivered by the MANUFACTURER after full payment by the DISTRIBUTOR and payment confirmation by the MANUFACTURER's bank.

6.3 In case of non-payment, if a payment deadline is established by mutual agreement, penalties of 0.15%/day will be calculated for the unpaid amount with the possibility that it may exceed the amount of the outstanding debit on which they are calculated.

6.4 Non-compliance with payment obligations by the DISTRIBUTOR leads to his being obliged to pay in full in advance for the products to be ordered in the future or to the termination of this contract.

Art. 7 – GUARANTEES

7.1 The MANUFACTURER guarantees its products for the period mentioned in the Warranty Certificate provided. The Distributor's customer can opt for the Standard Warranty or the Limited Warranty at no additional cost. The MANUFACTURER's obligations under the warranty will be limited to the repair or replacement of any parts that prove defective under normal use.

7.2 This warranty does not apply to any product or parts of the product which have been subject to accident, neglect, alteration, abuse or misuse, or to items which are consumed in operation, which have a life span shorter than the warranty period.

7.3 Depending on the express request of the Extended Warranty (Premium Warranty - in the form and under the conditions present on the MANUFACTURER's official website: https://termocasa.ro/ro/) by the final customer of the DISTRIBUTOR, he will be able to benefit from the extended warranty from the MANUFACTURER after paying it. The extended warranty payment will be made by the final customer of the DISTRIBUTOR, directly to the MANUFACTURER's account, adding the extended warranty (Premium Warranty) to the initial warranty. The amount of the Extended Warranty is not included in the bonus or discount system stipulated in this contract.

Art.8 – CONFIDENTIALITY CLAUSE

8.1 The parties acknowledge that during the execution of this contract they may obtain confidential information of the other party.

8.2 None of the parties, during the execution of this contract and for a period of 5 (five) years from the termination of the contract, will be able to disclose confidential information of the contractor to third parties.

Art.9 - TERMINATION OF THE CONTRACT

9.1 This contract can be terminated by either party in case of non-performance or improper performance by the other party of the assumed contractual obligations, without the intervention of the court and without delay, with payment of the outstanding mutual obligations until the date of termination of the contract, by means of a notification sent in writing at least 30 days before the date of termination.

Art. 10 – FORCE MAJEURE

10.1 Force majeure exempts the contracting parties from fulfilling the obligations assumed by this contract, during the entire period in which it acts.

10.2 Force majeure means an event independent of the will of the parties, unforeseeable or insurmountable, occurring after the conclusion of the contract and which prevents the parties from performing the obligations assumed according to the contractual provisions. Force majeure is ascertained by a competent authority.

10.3 The execution of the contract will be suspended during the period of force majeure, but without prejudice to the rights of the parties until its occurrence.

10.4 The party invoking force majeure has the obligation to notify the other party, immediately and completely, of its occurrence, and to take any measures at its disposal in order to limit the consequences.

Art.11 – TERMINATION OF THE CONTRACT

11.1 This contract terminates:

  • By termination, under the terms of art. 9 of this contract.
  • If one of the parties assigns its rights and obligations provided for in this contract without the prior written consent of the other party.
  • By agreement of the parties.
  • For other reasons provided by this contract or by the legislation in force.

11.2 The termination of this contract will not have any effect on the obligations already due between the contracting parties.

Art. 12 – COMMUNICATIONS

12.1 Any communication between the parties, regarding the fulfillment of this contract, must be sent in writing.

12.2 The transmission by mail will be accompanied by the confirmation of its complete dispatch, in accordance with the technical coordinates of the equipment used for the transmission.

12.6 If the information is sent by fax, it is considered received on the first working day after the one on which it was sent.

12.7 Verbal notifications are not taken into account in the execution of this contract, if they are not confirmed through one of the methods provided in the previous paragraphs.

12.8 The parties undertake to communicate, mutually and in time, any changes to the data in the contract, under the penalty that they are not taken into account when assessing the manner of execution of the contract.

Art.13 – APPLICABLE LAW, RESOLUTION OF DISPUTES

13.1 Romanian legislation in force is applicable to this contract.

13.2 Any dispute arising from or in connection with this contract, including regarding its conclusion, execution or termination, if it cannot be resolved amicably through the representatives of the parties, will be settled by the competent courts.

Art.14 - MODIFICATION OF THE CONTRACT

14.1 The modification of this contract is done only through an additional deed concluded between the contracting parties.

Art.15 - MISCELLANEOUS CLAUSES

15.1 This contract is completed with the legal provisions applicable in the matter.
